1) Company Secretarial Matters
Company Secretarial issues – including preparation and filing all Corporate Affairs forms – CO2, Annual Returns, CAC 10, etc, Delivery of Board meeting Notices to Directors, Secretary
2) Annual General Meeting Activities
Secretary to the Annual General Meeting Committee – Covers all meetings of the AGM Planning Committee, Liaise with Agencies and Events Managers on all activities concerning the AGM of Nigerian Breweries Plc, arranges Board Dinner and other Dinners after Board Meetings,.
3) Records Management.
Maintains records of Trademarks Register, Product Complaint Register, Register of Agreements, Register of Cases involving the Company, Files all application and renewals in respect of NB Plc’s intellectual property,
4) Product complaint matters
writes letters concerning this to law firms, and our insurers, informs our insurers when such matters go to court for adjudication, Does periodic (quarterly analysis) or product complaint.
5) Properties issues
This includes collecting demand notices from Land Use and Allocation Directorate in respect of ground on state lands and arranges payment, Liases with Knight Frank, Estate Surveyors in case of valuation of properties, keeps and maintains a Register of Company Properties, pays rents on all company properties, demands rent on company owned properties, arranges payment of valuation fees, Negotiates new and ongoing leases and rents.
6) Budgets
Prepares the Departmental budget, ensures that expenses are in tune with budget, processes all payments to law firms, estate surveyors and Valuers, events managers, agencies, etc
7) Capital market activities
Takes part in scrip issues by sending the increased in shares to stamp duty, obtaining approval from the Securities and Exchange Commission, liaising with the appointed stock brokers, solicitors and other capital market operators to ensure compliance with statutory regulations and then arranging sealing, positing and auditing of the activities of the scrip issues at the end of the exercise. Ensures that the Company that in Stock Exchange matters, ensuring that CSCS fees are paid, keeps a list of official listing for the record of the company, follows up approvals by the statutory bodies concerned such as Nigerian Stock Exchange, Securities and Exchange Commission, Calculates and ensures that these fees are properly calculated according to the established guidelines etc.
Share Registration Functions:
Checks shares to ensure conformity before it goes to Board Committee meetings, Performs Share Approval Function such as checking shares from Registrar’s office for corrections, arranging them in the proper order, ensuring that they go to Executive Committee Meeting of the Board for approval, seals them in the presence of the Company Secretary/Legal Adviser and returning them to Registrar for their further actions.
Ensures that the Company complies with statutory requirements, particularly of the Stock Exchange, ensures meeting with SEC requirements, and the Corporate Affairs Commission requirements such as filing forms CAC 10, Annual Returns, etc Make all arrangements including seeking approval of the Statutory bodies in case of bonus issues, arranges printing of the share certificates, sealing and dating them and despatch them to Registrar’s Office for their further actions
9) Pension Administration
Director of the Progress Trust CPFA) Ltd – the pension fund of NB Plc’s staff. In this regard, takes part in taking decisions about the strategic direction of the pension fund, ensuring that the Fund meets the Pencom requirements including ensuring that the fund complies with the requirements of Pencom in areas of investment, and generally with the provisions of the 2004 Pension Act.
I am also a member of the Risk Management Committee of the Progress Trust (CFPA), the Pension Fund arm of Nigerian Breweries Plc.
